You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and to authorize Remece to use your User Content. You agree not to submit User Content that is unlawful, defamatory, obscene, or otherwise objectionable.

Payment Terms

Certain features of our Services may require payment of fees. You agree to pay all fees and charges incurred in connection with your account at the rates in effect when the charges were incurred. All fees are quoted in Canadian dollars and are non-refundable except as expressly stated in these Terms or our refund policy.

Termination

Remece disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.

Limitation of Liability

In no event shall Remece, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Services
Any conduct or content of any third party on the Services
Any content obtained from the Services
Unauthorized access, use, or alteration of your transmissions or content

In no event shall Remece's total liability to you for all damages exceed the amount paid by you to Remece in the six months preceding the event giving rise to the claim for liability.

Indemnification

You agree to indemnify and hold harmless Remece and its directors, employees, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

Your use of and access to the Services
Your violation of any term of these Terms
Your violation of the rights of a third party, including but not limited to intellectual property rights
Your violation of any applicable law or regulation

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Any legal action of whatever nature brought by either you or Remece shall be commenced or prosecuted in the provincial and federal courts located in Toronto, Ontario, and the parties hereby irrevocably consent to the exclusive jurisdiction and venue of such courts.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by arbitration in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted in Toronto, Ontario, and the language of the arbitration shall be English.

Notwithstanding the foregoing, Remece retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

Miscellaneous

These Terms constitute the entire agreement between you and Remece regarding the use of the Services, superseding any prior agreements between you and Remece relating to your use of the Services.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue to be valid and enforceable.

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
